Welcome to Agency Sweet. These Terms of Service ("Terms") govern your access to and use of the Agency Sweet platform and the Docu-Prepper service (collectively, the "Service") provided by Sandcastle Technologies of New York ("we," "us," or "our").

By registering for an account, starting a free trial, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an insurance agency or organization, you represent that you have the authority to bind that organization to these Terms.

1. Description of Service

Agency Sweet provides a software-as-a-service (SaaS) document generation tool, Docu-Prepper, designed to assist New York State insurance agencies in populating, merging, and formatting insurance application and compliance forms.

2. User Responsibilities & Accuracy

• Data Accuracy: You are solely responsible for the accuracy, completeness, and legality of all data (including underlying client data) entered into the Service.
• Form Verification: You must review all generated documents for accuracy and compliance before submitting them to carriers, e-signature platforms, or clients.
• Authorization: You represent that you have all necessary rights, consents, and permissions to input client data into our Service for the purpose of document generation.

3. Free Trial and Subscriptions

We may offer a 14-day free trial of the Docu-Prepper tool. At the conclusion of the trial period, continued access to the Service requires a paid subscription. Subscription fees are billed in advance on a recurring basis. All fees are non-refundable except as required by law.

4. Limitation of Liability

To the maximum extent permitted by law, Sandcastle Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or commissions incurred directly or indirectly.

We are strictly not liable for:

• Insurance applications or policies rejected by carriers due to formatting, outdated forms, or missing data.
• Regulatory fines, compliance failures, or E&O (Errors and Omissions) claims resulting from the use of documents generated by the Service.
• Loss of data due to failure to save generated documents to your own Agency Management System (AMS).

5. Intellectual Property

All intellectual property rights in the Service, including the automated mapping algorithms, UI design, and original source code, are owned by Sandcastle Technologies. We grant you a limited, non-exclusive, non-transferable license to use the Service strictly for your internal business operations.

6. Account Termination

We reserve the right to suspend or terminate your account at any time, without prior notice, if you breach these Terms or use the Service for illegal, fraudulent, or unauthorized purposes.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York.
